1. INTRODUCTION

These Terms of Service constitute a legally binding agreement between Edusmartech and any individual or organisation using or partnering with the Edusmartech platform.

2. DEFINITIONS

• “Services” means Edusmartech software, platforms, and related services.
• “School” means any educational institution using the Services.
• “Partner” means an individual or corporate entity authorised to refer and onboard schools.
• “User” means students, parents, teachers, staff, and administrators.

3. ABOUT EDUSMARTECH

Edusmartech is a cloud-based school management system that allows schools to manage academic, financial, communication, and administrative operations.

4. PARTNER PROGRAM TERMS

4.1 Appointment

Edusmartech appoints approved Partners to promote, refer, and onboard schools into the platform within their assigned territory or region.

4.2 Partner Responsibilities

• Source and onboard schools to Edusmartech.
• Ensure proper onboarding and support of referred schools.
• Escalate school complaints to Edusmartech when necessary.
• Maintain active engagement on the Partner Dashboard.

4.3 Commission Structure

• Individual Partners earn 20% commission on subscription payments from onboarded schools monthly, quarterly, semesterly or yearly depending on the subscription plan of each of the schools onboarded.
• Corporate Partners earn 25% commission on subscription payments from onboarded schools monthly, quarterly, semesterly or yearly depending on the subscription plan of each of the schools onboarded.
• Commission applies only while the school maintains an active , and are paid when school subscription is received.

4.4 Payment Terms

Commissions are paid continuously as long as the referred school remains active and subscribed.

4.5 Contract Duration

This Partner Agreement is valid for a period of ten (10) years and may be renewed upon mutual agreement.

4.6 Review of Commission

Edusmartech reserves the right to review and adjust commission rates (upward or downward) after five (5) years, with prior notice to the Partner.

4.7 Termination

Edusmartech reserves the right to terminate this agreement if the Partner breaches any terms or engages in misconduct.

• First offence: Warning letter
• Second offence: Final warning
• Third offence: Contract termination

4.8 Inactivity Clause

A Partner may be considered inactive and subject to termination if:

• No school is onboarded within six (6) months of activation
• No login activity for one (1) month
• Failure to escalate or manage school issues for more than three (3) months

5. GENERAL TERMS

All other platform usage terms, privacy policies, and data protection rules apply to both schools and partners.

6. ACCEPTANCE

By registering as a Partner or using the Edusmartech platform, you confirm that you have read, understood, and agreed to these Terms.
